Acceptance of Terms

By accessing and using DataTools, you accept and agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service. You must be at least 18 years of age, or the age of majority in your jurisdiction, to use DataTools.

Service Description

DataTools provides data processing tools designed to assist in your workflows. Our tools include data scrubbing, keyword finding, and other data analysis utilities to help streamline your business processes. DataTools is operated by Joe Della Maggiore ("we," "us," or "our").

Billing and Payments

Certain features of DataTools require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. All payments are processed securely by Stripe. We do not store your payment card information.

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings, and cancellation will take effect at the end of the current billing period. Fees paid are non-refundable except where required by applicable law.

We reserve the right to change subscription pricing at any time. Price changes will be communicated in advance and will take effect at your next renewal date.

Prohibited Uses

You agree not to use DataTools to:

• Upload, process, or transmit data that you do not have the legal right to use
• Process data in violation of any applicable privacy law (including CCPA, GDPR, or HIPAA)
• Attempt to reverse engineer, decompile, or disassemble any part of the service
• Abuse, overload, or circumvent rate limits or other technical controls
• Resell or sublicense access to DataTools without prior written permission
• Use the service for any unlawful purpose or in violation of any regulations
• Interfere with or disrupt the integrity or performance of the service

User Responsibilities

You are solely responsible for ensuring that any data you upload or process through DataTools complies with all applicable laws and regulations. You warrant that you have the full legal right to process any data you submit to our services, and that doing so does not violate the rights of any third party. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Intellectual Property

DataTools and all of its content, features, and functionality — including but not limited to software, text, graphics, logos, and designs — are owned by Joe Della Maggiore and are protected by applicable intellectual property laws. You retain all ownership rights to data you upload and process through our service. By using the service, you grant us a limited license to process your data solely to provide the services you have requested.

Account Termination

We reserve the right to suspend or terminate your account and access to DataTools at our sole discretion, with or without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, third parties, or the integrity of the service. Upon termination, your right to use DataTools will immediately cease and any data associated with your account may be deleted.

You may terminate your account at any time by contacting us at jrdellamaggiore@gmail.com. Termination does not entitle you to any refund of prepaid fees.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATATOOLS AND JOE DELLA MAGGIORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DATATOOLS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Our tools are meant to help in workflows and improve efficiency. You acknowledge that the results generated by our tools are for informational purposes only and should be verified independently. DataTools makes no warranties about the accuracy, completeness, or reliability of any data processing results.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Indemnification

You agree to indemnify, defend, and hold harmless Joe Della Maggiore and DataTools from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the service, your violation of these Terms of Service, or your violation of any rights of a third party.

Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

Governing Law and Disputes

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these terms or your use of DataTools shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by updating the "Last updated" date below. Your continued use of the service after any changes constitutes acceptance of the new terms. It is your responsibility to review these terms periodically.
